1. Seller
The Ledgerly service is sold by Gillet Laurent, sole proprietorship, Rue d'Atrive 31, B-4280 Hannut, Belgium, company number (BCE) BE 0794.069.120. Contact details are listed in the legal notice.
2. Scope
These terms and conditions of sale apply to every subscription to a paid Ledgerly plan. They supplement the terms of use. By subscribing to a paid plan, the customer declares that they are acting for professional purposes and accepts these terms without reservation. In case of conflict, these terms of sale prevail over the terms of use for all matters relating to the sale.
3. Plans and prices
Ledgerly offers a free plan and paid plans whose content and price are detailed on the Plans page. Prices are stated in euros per month, Belgian VAT included. The applicable price is the one displayed at the time of subscription.
4. Free trial
Every new account receives a 30-day free trial with access to all features, without a credit card and without commitment. At the end of the trial, the customer is free to choose a paid plan. Without a subscription, access to paid features ends and nothing is charged.
5. Order and payment
Subscriptions are taken out online from the account area. Payment is processed by our secure payment provider Stripe, by card or Bancontact. Ledgerly never has access to full payment details. The amount for each period is payable in advance, at the start of the period. An invoice is issued for every payment and remains downloadable from the account area.
6. Term, renewal and cancellation
The subscription runs for one month and renews automatically for the same duration. The customer may cancel at any time from the account area, without fees or notice. Cancellation takes effect at the end of the current, already paid period and does not give rise to a pro rata refund. The customer may change plans at any time; the new price applies from the next period.
7. Failed payment
If a payment fails, the customer is notified by email and asked to update their payment method. If the payment is not settled, Ledgerly may suspend access to paid features until payment is made. The customer's data is not deleted because of this suspension, subject to the retention rules set out in the terms of use.
8. Price changes
Ledgerly may change its prices. Any increase is notified by email at least 30 days before it applies. A customer who does not accept it may cancel the subscription before that date at no cost. Prices for periods already paid are never changed.
9. Professional customers and right of withdrawal
Ledgerly is reserved for professionals (self-employed people, liberal professions and companies). The right of withdrawal granted to consumers by the Belgian Code of Economic Law therefore does not apply. The 30-day free trial lets you test the service before any payment.
10. Provision of the service
The service is available online as soon as the subscription starts. Ledgerly uses reasonable means to ensure its availability and security, under an obligation of means. Occasional interruptions may occur for maintenance or in the event of an incident at a provider (hosting, Peppol network, bank, payment).
11. Liability
Ledgerly is an invoicing assistance tool and does not replace a certified accountant. The customer remains responsible for the content of their invoices and their tax obligations. Except in case of gross negligence or wilful misconduct, Ledgerly's liability is limited to direct damage and, in total, to the amount paid by the customer during the 12 months preceding the event giving rise to the claim.
12. Personal data
The data required for the sale and invoicing is processed in accordance with the GDPR and our privacy policy. Subscription invoices are kept for 7 years, in line with Belgian accounting obligations.
13. Complaints
Any complaint about a subscription or an invoice can be sent through the contact form. We undertake to reply within a reasonable time and to seek an amicable solution before any proceedings.
14. Governing law and jurisdiction
These terms of sale are governed by Belgian law. Failing an amicable solution, any dispute falls under the exclusive jurisdiction of the courts of the judicial district of Brussels.
